Custom Development Services Agreement

This Agreement governs custom development, design, and consulting services performed by Tiny Screen Labs LLC.


Scope of Services

Services may include:

  • custom software development
  • website design
  • mobile application design
  • consulting and implementation services

Specific project details will be outlined in written proposals or statements of work.


Client Responsibilities

The client agrees to:

  • provide necessary assets and information
  • provide timely feedback and approvals
  • comply with agreed project timelines
  • make payments according to the payment schedule

Delays in client feedback may affect delivery timelines.


Changes and Additional Work

Project estimates are based on the requirements known at the time of proposal.

If additional work becomes necessary, Tiny Screen Labs will provide a revised estimate before proceeding.


Payment Terms

Invoices are issued electronically.

Payment is due upon receipt unless otherwise specified in the proposal.

Late balances may accrue interest at 1% per month.

The client is responsible for collection costs associated with unpaid balances.


Client Content

Clients represent that they have legal rights to all materials they provide including:

  • text
  • images
  • graphics
  • branding

Clients agree to indemnify Tiny Screen Labs against intellectual property claims related to client-provided materials.


Intellectual Property

Client Ownership

Upon full payment, the client owns:

  • website design assets created specifically for the project
  • client-specific configuration and content

Tiny Screen Labs Platform IP

Tiny Screen Labs retains ownership of all pre-existing and platform software including:

  • plugins
  • frameworks
  • libraries
  • internal tools
  • mobile application frameworks

These elements are licensed for use as part of the project but are not transferred to the client.


Portfolio Rights

Tiny Screen Labs may display completed work in portfolios, marketing materials, and case studies.


Termination

Either party may terminate the project with written notice.

Clients must pay for all work completed up to the termination date.


Limitation of Liability

Tiny Screen Labs’ liability for services shall not exceed the fees paid under the project agreement.
